Terms of Service
Version 2026-10-13
MatchyTouch is the name under which the Platform is operated. When an operating company is registered, these Terms pass to it and we will notify you. Contact: support@matchytouch.com.
This document has two parts: Part 1 applies to every user everywhere. Part 2 adds country-specific terms where MatchyTouch actively operates.
Part 1 — Global Base Terms
1. Acceptance of Terms
By accessing or using MatchyTouch (the "Platform"), whether as a Host, Seller, or Buyer, you agree to be bound by these Terms of Service, our Privacy Policy, and — if applicable to your location — the relevant Country-Specific Addendum in Part 2. If you do not agree, do not use the Platform.
2. What MatchyTouch Is (and Is Not)
MatchyTouch operates a physical-to-digital discovery and attribution network connecting Hosts (venues that display products), Sellers (businesses listing products), and Buyers (people who discover and may purchase them).
MatchyTouch facilitates discovery, calculates attribution between a discovery event and a resulting sale, and — where a Seller enables Hosted Checkout — facilitates a payment session on the Seller's own connected Stripe account. On the Invoice path, MatchyTouch records and verifies sales that a Seller reports and shows each party what is owed.
MatchyTouch is not a retailer, is not a party to the sale of any product, and does not take title to any product. Unless explicitly stated otherwise, the Seller is the merchant of record for every transaction and is solely responsible for the product's description, quality, safety, legality, pricing, and fulfillment.
3. Eligibility
You must be at least 18 and able to enter a contract. If using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms. The Platform is available only in the countries open for registration when you sign up. You must not use it where that would break a law that applies to you, including trade sanctions and export controls. You confirm that you are not the subject of sanctions imposed by the United Nations, the European Union, the United Kingdom or the United States.
4. Accounts
Hosts and Sellers must register and are reviewed manually before activation, usually within 2 business days. We may ask for verification documents (for example business registration, a payout instrument, a venue photo). We may approve, limit or decline any application without giving reasons, except where the law requires reasons. Samples between a Host and a Seller on the Invoice path are limited to the country where the Seller is registered. Buyers may use core discovery features without an account; optional features (such as requesting a discount code) require an email address, used solely for that purpose. You are responsible for your account credentials and all activity under your account. You may close your account by contacting support; records we must keep are retained as described in the Privacy Policy.
5. Roles and Division of Responsibility
Sellers are solely responsible for product listings, pricing, quality, safety, legal compliance, fulfillment, and Buyer inquiries about a purchase.
Hosts are solely responsible for their physical space and accurately representing display locations.
Buyers are responsible for their own purchasing decisions and for dealing directly with the Seller regarding any purchase issue.
MatchyTouch is responsible only for the accurate operation of the attribution, verification, fee-calculation, and payment-facilitation infrastructure described in these Terms and, on Hosted Checkout, for payouts made through Stripe.
6. Payments and Payouts
MatchyTouch supports two payment paths, shown in your account. Hosted Checkout: payment is processed by Stripe on the Seller's connected account; MatchyTouch takes an application fee and facilitates payouts through Stripe. Invoice path: the Seller sells on its own website or channel; MatchyTouch does not process, hold or pay out funds. It records each attributed sale, verifies it, and shows each party what is owed. The Seller pays the Host's share directly to the Host, and the Host confirms receipt. MatchyTouch does not store card details. Payouts and shares are calculated under the Policy Version in effect at the time of the transaction; completed transactions are never changed retroactively.
6A. Reporting Duties (Invoice Path)
A Seller must report every sale that came from a MatchyTouch scan or link, at the price the Buyer actually paid, through the API or the official plugin. Reports must be true and complete. MatchyTouch may ask for evidence, verify or reject a report, and may rely on the scan and click records it holds. Creating or submitting scans, clicks, orders or evidence that did not come from a genuine Buyer visit is prohibited. A Seller whose payment to a Host is overdue may be blocked from receiving new attributions until it is paid.
6B. Platform Share
On each verified sale MatchyTouch records a platform share. MatchyTouch may defer collecting it. Deferral is not a waiver. We will give at least 30 days' written notice, by email or in your dashboard, before we start collecting any deferred platform share. We will then collect or invoice it monthly in the way shown in your dashboard. Taxes are handled under Section 7A.
6C. Samples
The Seller sets the sample price within the limit shown on the product, or offers it free subject to the Seller's approval. On the Invoice path the Host pays the Seller directly and declares the payment with a reference; the Seller confirms it or says it was not received. A Host cannot cancel an order after declaring payment. The Host must display the sample on the assigned shelf. Title to a sample stays with the Seller. The Host holds it for display and takes reasonable care of it. The Host is liable for loss or damage only if caused by its own negligence, up to the sample price. The Seller may ask for the sample back at its own cost.
7. Fees, Policy Versions, and the Right to Change Them
MatchyTouch charges an application fee on facilitated transactions. Fee structure, revenue splits, and attribution windows are defined in versioned Policy records. MatchyTouch may introduce new Policy Versions at any time, affecting transactions occurring after the new version takes effect. Transactions already completed are not affected retroactively. Continued use after a new version takes effect constitutes acceptance of it. On the Invoice path, the revenue percentages in force when a Buyer scans or clicks are fixed for that attribution; a later Policy Version does not change it.
7A. Taxes
Hosts and Sellers are responsible for their own taxes. Amounts shown are exclusive of VAT or sales tax unless stated. We have not yet determined the tax treatment of platform shares and will tell you before collecting any. Where the law requires us to issue a tax invoice, we will issue it on request. Hosts and Sellers must give us the tax details we need.
8. Right to Modify or Discontinue Features
MatchyTouch may add, modify, suspend, or discontinue any feature at any time, with or without notice, including Hosted Checkout, Buyer Engagement discount codes, sample ordering, or the discovery map. No feature constitutes a guarantee that it will remain available. For material changes reasonably likely to affect Host or Seller revenue expectations, we will make reasonable efforts to provide advance notice, but are not always obligated to (e.g., for security or fraud-prevention changes).
9. Integrity of the Network; Prohibited Conduct
Sellers must not engage in conduct designed to circumvent the Platform's attribution or fee mechanisms — including knowingly directing Buyers who discovered a product through the Platform to an undisclosed alternate purchase channel to avoid attribution or fees, or misrepresenting whether an integration is active. MatchyTouch may investigate suspected violations and suspend or terminate access accordingly. This does not restrict a Seller's ordinary right to sell through channels entirely unconnected to the Platform.
Sellers must not list goods that are illegal where they are displayed or sold, counterfeit goods, weapons, narcotics including cannabis, sexually explicit goods, or prescription medicines. MatchyTouch holds products it classifies as restricted (for example alcohol, tobacco and nicotine products, supplements and other health products) for manual review and may refuse them.
10. Intellectual Property
The Platform is owned by MatchyTouch or its licensors. Sellers and Hosts retain ownership of content they upload but grant MatchyTouch a license to display it as necessary to operate the Platform.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. MatchyTouch does not warrant uninterrupted or error-free operation, or that attribution will be captured in every instance (for example, purchases completed entirely outside the Platform's discovery flow may not be attributed). MatchyTouch does not warrant the quality, safety, legality, or fitness of any product listed by a Seller, or the accuracy of any Host's location information.
12. Limitation of Liability
To the maximum extent permitted by law, MatchyTouch will not be liable for indirect, incidental, special, consequential, or punitive damages. MatchyTouch's total aggregate liability for any claim will not exceed the greater of (a) fees you paid to MatchyTouch in the preceding three months, or (b) 100 USD (or local currency equivalent). Nothing here limits liability that cannot lawfully be limited (see Part 2 for jurisdiction-specific protections).
13. Suspension and Termination
MatchyTouch may suspend or terminate access — including hiding a Seller's products from discovery and disabling associated QR codes — where it reasonably believes there has been a violation of these Terms or suspected fraud. Where practical, we will make reasonable efforts to notify the affected party. You may close your account at any time.
14. Indemnification
You agree to indemnify MatchyTouch against claims arising from your breach of these Terms, your products or listings, your physical space, or your violation of any law or third-party right.
15. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms by reference.
16. Changes to These Terms
We may revise these Terms from time to time. For material changes we will give at least 30 days' notice, by email or in your dashboard. Continued use after the notified date constitutes acceptance of the revised Terms.
17. General Provisions
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. MatchyTouch may assign these Terms in connection with a merger, acquisition, or sale of assets, and to an operating company registered to run the Platform (see the top of this document). These Terms, the Privacy Policy, and any applicable Country-Specific Addendum constitute the entire agreement between you and MatchyTouch.

Part 2 — Country-Specific Addenda
Country addenda are published for each country when it opens for sign-up. Until an addendum for your country is published, Part 1 applies.
United Arab Emirates
Amounts are exclusive of UAE VAT where it applies. Nothing in these Terms limits rights you have under mandatory UAE law.
